GENERAL TERMS & CONDITIONS

The Terms and Conditions herein constitute an Agreement between Tony Surridge Online Limited and its customers – organisations, companies, partnerships, institutions, groups and individual persons (known as "User" or "Users" or "you" or "your"). Please read the Terms and Conditions carefully. These are the Terms and Conditions on which you may use the tonysurridge.co.uk websit and the content/services available on it, including recruitment services; seminars, meetings and conferences; education book publications and other edcational materials; news links; and a forum, but not limited to these services (all together known as "TSOL substance"). These terms apply to your use of tonysurridge.co.uk and any other service or content irrespective of the delivery platform you use - e.g. laptop, Pc, desktop, mobile device or otherwise - and irrespective of how the "TSOL substance" is delivered to you - e.g. via web browser, Mobile Internet browser, email, SMS or otherwise. By accessing tonysurridge.co.uk you are agreeing to the Terms and Conditions below.

If you use tonysurridge.co.uk in the course of your business, you are also agreeing to these Terms and Conditions on behalf of that business.

These Terms and Conditions were last updated on 26th August 2008 and replace all previous Terms and Conditions for tonysurridge.co.uk. Tony Surridge Online Limited may alter, modify, change, suspend or withdraw any part of tonysurridge.co.uk or the services available on the website at any time (with or without notice to you) and may also change the Terms and Conditions. Tony Surridge Online Limited will post details of any changes to the Terms and Conditions on the tonysurridge.co.uk website. You should check these Terms and Conditions on a regular basis to see if any modifications or changes have been made - by using tonysurridge.co.uk after we have posted the modifications or changes, you are agreeing to be bound by them. If you do not agree to the changes you should cease using tonysurridge.co.uk. References in these Terms and Conditions to "TSOL" (or "we", "us" or "our") refer to Tony Surridge Online Limited which is the company operating tonysurridge.co.uk, see the Corporate Information section below for more details.

1. Access and Use

The website tonysurridge.co.uk is on one website which is accessible to all.

Permitted Use: All the tonysurridge.co.uk Content belongs to TSOL or its licensors. TSOL or its licensors own all intellectual property rights (including copyright and database rights) in the "TSOL substance" and any selection or arrangement of the "TSOL substance". You may for your personal, non-commercial use:

retrieve and display "TSOL substance" on any compatible device;
print a single copy of individual articles on paper (but not replicate or photocopy them);
email headlines appearing on tonysurridge.co.uk (but not full text books or e-books, part books or part e-books, articles or publications).
store such articles in electronic form on disk or on a mobile device (but not on any server or other storage device connected to a network); and
Use spidering technology to search and link to tonysurridge.co.uk, provided that you do not infringe the Restrictions on Use below.
Restrictions on Use: You may not use tonysurridge.co.uk for any unlawful purpose. Except as expressly set out above, you may not modify, adapt, reproduce, copy, publish, transfer, transmit, broadcast, create derivative works of, publicly display, store, archive, or in any way commercially exploit any of the "TSOL substance". Without limitation, you may not do any of the following without prior written permission from TSOL (and neither may you allow a third party to do any of the same):
redistribute any of the "TSOL substance", including the using of it as part of any, content aggregation, news aggregation, syndication, teaching material, archive or comparable or similar service; or
remove the copyright or trade mark notice from any copies of "TSOL substance" made under these Terms and Conditions; or
create a database in structured manual form or electronic form by systematically and/or regularly caching, downloading, printing and storing all or any of the "TSOL substance" (by spidering or any other device); or
harvest, frame or scrape the "TSOL substance" or otherwise access the "TSOL substance" for similar purposes.

You acknowledge that "Tony Surridge" is a registered trade mark and that you may not use it without written permission from TSOL.

Linking: If you would like to link to and use tonysurridge.co.uk, please read and comply with the following guidelines and all applicable laws. A service that links to tonysurridge.co.uk:

may display a Tony Surridge ogo but must not otherwise use any TSOL trade marks without permission from TSOL.
may not remove, distort or otherwise alter the size or appearance of the logo;
may link to the homepage of tonysurridge.co.uk, and on an ad hoc, non-systematic basis deeplink to other pages of tonysurridge.co.uk;
must not in any way imply that TSOL is endorsing it or its products or services;
must not misrepresent its relationship with TSOL or present false information about TSOL;
must not be a product or service that infringes any intellectual property or other right of any person or that otherwise does not comply with all relevant laws and regulations;
must not be a product or or service that includes or contains content that could be construed as distasteful or offensive.

TSOL expressly reserves the right to require that any link be removed and to take whatever other action it deems appropriate.

PLEASE NOTE THAT IN ADDITION AND WITHOUT PREJUDICE TO OUR RIGHTS AT LAW TO RESTRICT THE TYPES OF USE REFERRED TO ABOVE, THESE RESTRICTIONS ARE ALSO CONTRACTUAL IN NATURE AND BIND ALL USERS OF TONYSURRIDGE.CO.LTD.

2. Privacy Policy and Registration

All information which you receive from your use of tonysurridge.co.uk will be used by TSOL in accordance with our Privacy Policy.

3. Warranties and Limitation of Liability

The "TSOL substance" is only for your general information and use and is not intended to address your particular requirements. In particular, the "TSOL substance" does not constitute any form of representation, recommendation, advice, arrangement or endorsement arrangement by TSOL and is not intended to be relied upon by Users in making (or refraining from making) any specific investment or other decisions. Appropriate independent advice should be obtained before making any such decision. Any agreements, transactions or other arrangements made between you and any third party named on (or linked to from) tonysurridge.co.uk are at your sole risk and responsibility. Any information that you receive via tonysurridge.co.uk whether or not it is classified as "real time", may have ceased to be current or accurate by the time it reaches you and therefore not entirely accurate. TSOL is not responsible for any use of the "TSOL substance" by you outside its scope as stated in these Terms and Conditions.

LIMITED WARRANTY

What we can guarantee: TSOL SHALL DEVELOP AND OPERATE TONYSURRIDGE.CO.UK WITH REASONABLE SKILL AND CARE AND HAS REASONABLE SECURITY PROCEDURES IN PLACE.

What we cannot guarantee: EXCEPT AS SET OUT IN THE PARAGRAPH ABOVE, TSOL DOES NOT GIVE ANY WARRANTIES IN RESPECT OF THE TONYSURRIDGE.CO.UK WEBSITE OR THE FUNCTIONS, PRODUCTS AND SERVICES AVAILABLE ON OR THROUGH TONYSURRIDGE.CO.UK. TO THE EXTENT ALLOWED BY APPLICABLE LAW, TSOL HEREBY DISCLAIMS ALL OTHER WARRANTIES, CONDITIONS OR DUTIES OF EVERY NATURE WHATSOEVER (EXCEPT DUTY OF GOOD FAITH), INCLUDING WITHOUT LIMITATION, ANY IMPLIED WARRANTIES OF SATISFACTORY QUALITY, MERCHANTABILITY OR OF FITNESS FOR A PARTICULAR PURPOSE, ANY EXPRESS OR STATUTORY WARRANTIES, AND ANY WARRANTIES OR DUTIES REGARDING ACCURACY, TIMELINESS, COMPLETENESS, PERFORMANCE, AVAILABILITY, LACK OF NEGLIGENCE OR OF WORKMANLIKE EFFORT. NEITHER DO TSOL PROVIDE ANY WARRANTY THAT TONYSURRIDGE.CO.UK, ITS E-MAIL LINKS OR ANY OTHER SUBSTANCE IS FREE FROM INFECTION BY VIRUSES OR ANYTHING ELSE THAT HAS CONTAMINATING OR DESTRUCTIVE PROPERTIES. TSOL DOES NOT WARRANT THAT THE WEB WILL OPERATE ERROR-FREE OR THAT THE WEB AND ITS SERVER ARE FREE OF COMPUTER VIRUSES OR OTHER HARMFUL MECHANISMS. IF USE OF TONYSURRIDGE.CO.UK OR THE "TSOL SUBSTANCE" RESULTS IN THE NEED FOR SERVICING OR REPLACING EQUIPMENT OR DATA, TSOL IS NOT RESPONSIBLE FOR THOSE COSTS. TONYSURRIDGE.CO.UK AND "TSOL SUBSTANCE" ARE PROVIDED ON AN "AS IS" BASIS WITHOUT ANY WARRANTIES OF ANY KIND. TSOL, TO THE FULLEST EXTENT PERMITTED BY LAW, DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS OR IMPLIED, INCLUDING THE WARRANTY OF MERCHANTABILITY, FITNESS FOR PARTICULAR PURPOSE AND NON-INFRINGEMENT WITH RESPECT TO OUR SERVICES OR THE FUNCTIONALITY, PERFORMANCE OR RESULTS THEREOF. TSOL MAKES NO WARRANTIES ABOUT THE COMPLETENESS, RELIABILITY, ACCURACY, OR TIMELINESS OF THE MATERIAL, SERVICES, WEB, WEB CONTENT, TEXT, GRAPHICS, SOFTWARE, AND LINKS.

OUR LIABILITY EXCLUSION

TO THE FULL EXTENT ALLOWED BY APPLICABLE LAW, YOU AGREE THAT TSOL WILL NOT BE LIABLE TO YOU FOR ANY LOSSES WHICH RELATE TO YOUR BUSINESS OR WHICH ARE NOT A DIRECT CONSEQUENCE OF YOUR USE OF TONYSURRIDGE.CO.UK (INCLUDING LOST PROFITS OR LOSS OF PRIVACY OR LOSS OF OR DAMAGE TO DATA) OR WHICH ARISE AS A RESULT OF YOU USING TONYSURRIDGE.CO.UK OUTSIDE THE SCOPE OF THESE TERMS AND CONDITIONS.

IN ADDITION TO BUT SEPARATE FROM THE ABOVE SPECIFIC EXCLUSION AND TO THE FULL EXTENT ALLOWED BY ENGLISH LAW, YOU ALSO AGREE THAT TSOL WILL NOT BE HELD LIABLE TO YOU FOR ANY OTHER SPECIAL, CONSEQUENTIAL INCIDENTAL, INDIRECT, PUNITIVE OR EXEMPLARY DAMAGES WHATSOEVER THAT ARISE OUT OF OR ARE RELATED TO YOUR USE OF TONYSURRIDGE.CO.UK.

YOUR REMEDIES

TSOL SHALL USE REASONABLE ENDEAVOURS TO PROMPTLY REMEDY ANY FAULTS IN TONYSURRIDGE.CO.UK OF WHICH IT IS AWARE.

YOU AGREE THAT YOUR ONLY OTHER REMEDY (INCLUDING FOR NEGLIGENCE) FOR ANY DAMAGES THAT YOU INCUR ARISING OUT OF YOUR USE OF TONYSURRIDGE.CO.UK (TO THE EXTENT THAT THE LIABILITY OF TSOL IS NOT EXCLUDED BY THIS SECTION 3) IS AS FOLLOWS:

IF YOU HAVE SUBSCRIBED TO RECEIVE ANY SERVICES WHICH ARE PAID FOR, YOUR REMEDY IS LIMITED TO THE DIRECT DAMAGES YOU ACTUALLY INCUR ARISING OUT OF YOUR USE OF TONYSURRIDGE.CO.UK. THIS IS SUBJECT TO A LIMIT EQUAL TO THE FEE PAID BY YOU TO TSOL PURSUANT TO THESE TERMS AND CONDITIONS DURING THE YEAR IN WHICH THE DAMAGE IS SUSTAINED OR INCURRED. YOU MAY AT YOUR OPTION RECEIVE PAID FOR SERVICES TO THE EQUIVALENT VALUE OF THIS LIMIT IN PLACE OF MONETARY DAMAGES.
IF YOU HAVE NOT SUBSCRIBED TO RECEIVE ANY SERVICES WHICH ARE PAID FOR, THEN TO THE EXTENT WE CANNOT REMEDY THE RELEVANT FAULT IN TONYSURRIDGE.CO.UK, YOUR REMEDY IS LIMITED TO RECEIVING PAID FOR SERVICES AT NO COST UP TO THE VALUE OF THE DIRECT DAMAGES YOU ACTUALLY INCUR ARISING OUT OF YOUR USE OF TONYSURRIDGE.CO.UK. THIS IS SUBJECT TO A LIMIT OF £10.
IF A COURT OF COMPETENT JURISDICTION DETERMINES THAT EITHER OF THE ABOVE LIMITS ON OUR LIABILITY ARE UNENFORCEABLE, THEN YOU AGREE THAT IN ANY EVENT OUR TOTAL LIABILITY TO YOU SHALL NOT EXCEED DAMAGES GREATER THAN £100.

The above restrictions and disclaimers on the liability of TSOL and you apply equally to your use of tonysurridge.co.uk and all "TSOL substance".

OTHER INFORMATION

Without limiting the above, TSOL is not liable for matters beyond its reasonable control. TSOL does not control courier services, postal services, telephones, the Internet, third party communications networks (including your Internet Service Provider), acts of third parties or the acts of God.

4. Third Party Sites and Services

The website tonysurridge.co.uk contains links to mobile and online services provided by independent Third Parties ("Third Party s") or other internet websites, either through frames or directly. Third Party s may be co-branded with TSOL and so include TSOL's trade mark. TSOL is not responsible for the availability or content of Third Partys and will not be a party to, or in any way responsible for, any transaction concerning goods or services available from such Third Party s. If you purchase services or products from a Third Party your contract for such services or products will be with the third party and not with TSOL . Our Privacy Policy does not apply to Third Party s. This provision also applies to any Recruiters that Users (Job Seekers) of the Jobs and Recruitment section of tonysurridge.co.uk may contact.

Copyright in any publications, documents or software that is made available for download from tonysurridge.co.uk belongs to TSOL or its suppliers. Your use of the software is governed by the terms of any licence agreement that may accompany or be included with the software. TSOL is not responsible for any technical or other issues that may arise if you download software from a third party. Do not download, install or use any software unless you agree to such licence agreement.

The website tonysurridge.co.uk contains sponsorship and advertising. Sponsors and advertisers are responsible for ensuring that material submitted for inclusion on tonysurridge.co.uk complies with national and international law. TSOL will not be responsible for any error or inaccuracy in advertising or sponsorship material.

5. Choice of Law and Jurisdiction

These Terms and Conditions shall be governed by, and construed in accordance with, English law. To the extent possible in the applicable jurisdiction, the parties irrevocably agree that the Courts of England shall (subject to the paragraph below) have non- exclusive jurisdiction to settle any dispute which may arise out of, under, or in connection with these Terms and Conditions.

If any provision of these Terms and Conditions is found to be invalid by any Court having competent jurisdiction, the invalidity of such provision shall not affect the validity of the remaining provisions of these Terms and Conditions which shall remain in full force and effect. No waiver of any term of these Terms and Conditions shall be deemed a further or continuing waiver of such term or any other term. Except as expressly provided in additional terms of use for areas of the tonysurridge.co.uk website a particular "Legal Notice" or Software License or material on particular Web pages, these Terms and Conditions constitute the entire agreement between you and TSOL with respect to the use of tonysurridge.co.uk. No changes to these Terms and Conditions shall be made except by a revised posting on this website page.

For the exclusive benefit of TSOL and to the extent possible in the applicable jurisdiction, TSOL shall retain the right to bring or enforce proceedings as to the substance of the matter in the courts of the country of your residence or, where these terms and conditions are entered into in the course of your need, interest, profession or trade, the country of the place of business in which you agreed to these Terms and Conditions or the country of your principal place of business, if that country is different.

You may not sub-license, assign, or otherwise transfer any of your rights under these Terms and Conditions. If any provision of these Terms and Conditions is found to be invalid by any court having competent jurisdiction, the invalidity of that provision will not affect the validity of the remaining provisions of these Terms and Conditions, which shall remain in full force and effect.

Failure by either party to exercise any right or remedy under these Terms and Conditions does not constitute a waiver of that right or remedy. Headings in these Terms and Conditions are for convenience only and will have no legal meaning or effect.

7. Paid For Services

TSOL operates the following "PAID FOR" services: recruitment services, but only for Recruiters (recruitment services for Job Seekers are provided free-of-charge.); seminars, meetings and conferences; teaching services; and education book publications and other educational materials but are not limited to these. By subscribing or paying to receive any of these Paid For Services, as well as the above Terms and Conditions, you are also agreeing to the terms in this Section 7. TSOL reserves the right to terminate or vary the Paid For Services and does not guarantee that a Paid For Service will remain paid for or that a free-of-charge service will remain free- of-charge.
